These Terms of Service ("Terms") govern your use of the services provided by Apex Automation ("we," "us," or "our"). By using our services, you agree to be bound by these Terms.
Services
Apex Automation provides AI-powered receptionist and business automation services, including but not limited to:
- AI voice agents that answer inbound phone calls
- Automated appointment scheduling and calendar management
- SMS appointment confirmations and reminders
- Missed-call text-back automation
- Lead qualification and CRM management
- Real-time booking notifications
- Monthly performance reporting
Client Obligations
As a client of Apex Automation, you agree to:
- Provide accurate and complete business information for system setup
- Maintain an active phone number and business operations
- Comply with all applicable laws and regulations, including those related to telecommunications and SMS messaging
- Not use our services for any unlawful, fraudulent, or deceptive purposes
- Pay all fees in accordance with the agreed-upon pricing structure
SMS Messaging Terms
Our services include sending SMS messages to your customers on your behalf. By using our services, you confirm that:
- Your customers have provided consent to receive SMS communications
- Messages sent are transactional in nature (appointment confirmations, reminders, follow-ups)
- Recipients can opt out at any time by replying STOP
- Message frequency varies based on appointment activity
- Message and data rates may apply to recipients
Fees and Payment
Service fees are outlined in your individual service agreement. All fees are due in accordance with the payment terms specified in your agreement. We reserve the right to modify pricing with 30 days written notice.
Intellectual Property
All AI systems, software, workflows, and automations developed by Apex Automation remain the intellectual property of Apex Automation. Clients are granted a non-exclusive license to use these systems for the duration of their service agreement.
Limitation of Liability
Apex Automation provides services on an "as is" basis. While we strive for maximum uptime and accuracy, we do not guarantee that our AI systems will be error-free or uninterrupted. Our total liability for any claim arising from our services shall not exceed the fees paid by the client in the three months preceding the claim.
Termination
Either party may terminate the service agreement with 30 days written notice. Upon termination, access to AI systems and automations will be discontinued. Any outstanding fees remain payable.
Confidentiality
We treat all client business information and customer data as confidential. We will not disclose confidential information to third parties except as necessary to provide our services or as required by law.
Modifications
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of the State of California, United States. Any disputes arising from these Terms shall be resolved in the courts of Los Angeles County, California.
